Terms of Service – SetuTau Network

1. Introduction
Welcome to SetuTau Network ("Platform", "we", "us"). These Terms of Service ("Terms") govern your use of the Platform and its services. By signing up, becoming a merchant, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2. Nature of the Platform
SetuTau Network is a service provider that operates a commission-based marketplace. We provide technology, hosting, and payment routing. We do not:
- Sell or deliver products or services listed by merchants
- Hold or process merchant funds (all payments go through PayFast and merchant accounts)
- Act as a party to transactions between merchants and customers
- Guarantee the quality, safety, or legality of merchant offerings
3. Merchants
3.1 Merchant Obligations
Merchants are responsible for:
- Accurate business and product/service information
- Fulfilling orders, bookings, and subscriptions
- Compliance with applicable laws (including consumer protection, tax, and data protection)
- Their own PayFast account, credentials, and payment processing
- Customer disputes, refunds, and support
3.2 Platform Commission
The Platform receives a configurable commission (default 2%) on qualifying transactions via PayFast split payments. Commission is applied automatically. Merchants receive the remainder after commission.
3.3 Suspension and Termination
We may suspend or ban merchants who:
- Violate these Terms or PayFast terms
- Engage in fraud, abuse, or illegal activity
- Fail to meet compliance requirements
- Pose a risk to customers or the Platform
Suspended or banned merchants lose access to the Platform. Public pages will not be displayed.
4. Customers
Customers may purchase, book, or subscribe to merchant offerings. Guest checkout is available; email is required for receipts and notifications. Customers must comply with these Terms and any merchant-specific terms.
5. Disputes, Refunds, and Liability
- Disputes between customers and merchants are the sole responsibility of the merchant. The Platform is not a party to such disputes.
- Refunds are handled solely by merchants. The Platform does not process refunds. See our Refund Policy.
- Deliveries and fulfilment are the responsibility of merchants. We do not guarantee delivery or service quality.
- Liability: To the maximum extent permitted by law, the Platform excludes liability for indirect, consequential, or punitive damages arising from use of the Platform, merchant conduct, or customer transactions.
6. Compliance and Jurisdiction
- These Terms are intended to comply with South African law where applicable.
- The Platform may be used internationally; users are responsible for complying with local laws.
- Violation of applicable law may result in suspension or termination.
7. PayFast
- All payments are processed by PayFast. By using the Platform, you agree to PayFast's terms.
- Merchant PayFast credentials are encrypted and stored securely. The Platform does not access or use merchant credentials except to facilitate split payments as configured.
- Violation of PayFast terms may lead to Platform suspension or banning.
8. Changes
We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be communicated where practicable.
